Chairman of the Board of Directors
 | Dwight W. Decker became the chairman of the board of BCD Semi on Jan 15, 2008. He has been the chairman of the board of Conexant Systems, Inc., since December 1998; he served as non-executive chairman from the end of February 2004 to November 2004. He had been chief executive officer of the Company from January 1999 to February 2004 and again since November 2004. Mr. Decker is non-executive chairman of the board and a director of each of Mindspeed Technologies, Inc., Skyworks Solutions, Inc., and a director of Pacific Mutual Holding Company. He also serves as a director or member of numerous professional and civic organizations. |
| Board Director  | Chieh Chang has been a member of our board of directors since February 2001. From February 2000 to February 2003, Mr. Chang served as Chief Executive Officer of Programmable Microelectronics Company, Inc., a fabless semiconductor design company. From April 1992 to August 1996, Mr. Chang was the Director of Technology at Cirrus Logic, Inc., a semiconductor company. Mr. Chang received his B.S. in Electrical Engineering from the National Taiwan University and his M.S. in Electrical Engineering from UCLA. |

 | Herbert Chang has been the chairman of the board of BCD Semi from Sep, 2002 to Jan, 2008. Mr. Chang is a venture capitalist focusing on early stage information technologies investments in the Silicon Valley, California USA, Taiwan and China Mainland. From 1994, Mr. Chang was a Senior Vice President of WK Technology Fund, President of InveStar Capital (the fund manager of the InveStar series venture capital funds), General Partner of Forefront Venture Partnerships, and CEO of C Squared Venture Management Corp. The funds under Mr. Chang's management have successfully participated in the IPOs of Marvell Tech Group (Nasdaq: MRVL), Oplink Communication Inc. (Nasdaq: OPLK), Monolithic Power System Inc. (Nasdaq: MPWR), NetiQ Corporation (Nasdaq: NTIQ), Silicon Image Inc. (Nasdaq: SIMG), GeoVision Inc. (Taiwan 3356.tw) and lots of other IPO and merger and acquisition deals. Mr. Chang got his Master of Business Administration degree from National Chiao-Tung University in Taiwan and a Bachelor of Science degree from National Taiwan University. |

|  | Joseph Liu one of our founders, served on our board of directors from October 2000 to June 2004, and rejoined our board in October 2006. He also served as our President from October 2000 to September 2002. Mr. Liu founded Oplink Communications, Inc. in 1995 where he is currently President, Chief Executive Officer and a member of the board of directors. Prior to founding Oplink, Mr. Liu served as the Chairman of the board of directors and Chief Executive Officer of Techlink Semiconductor and Equipment Corp. and as the General Partner of Techlink Technology Ventures. Mr. Liu received a B.S. in chemical engineering from Chinese Cultural University, Taiwan and an M.S. in industrial engineering from California State University, Chico. |

 | Anthony Sun is managing general partner and CEO of Venrock Associates with offices in Menlo Park, New York and Boston. Since 1979, he has had an instrumental role in the completion of public offerings or successful mergers in over two dozen companies, and currently serves on many boards of Venrock portfolio companies. He is a member of the Corporation of MIT, and a Commissioner of the Asian Art Museum of San Francisco serving on the executive committee. He is also on the International Resource Panel of the Government of Singapore and member of the Naval Research Advisory Committee of the U.S. Navy. Previously a member of the board of the steering committee, California Research Center, Harvard Business School, and board member of the National Venture Capital Association, Tony holds a B.S., M.S. and Engineer degree from MIT and MBA from Harvard Business School. |

 | Michael L. Pfeiffer joined our board of directors in January 2008. Mr. Pfeiffer had previously spent 31 years with Pricewaterhouse Coopers LLP from 1976 until his retirement in September 2007, the last 18 of those years as a partner. During his career at PricewaterhouseCoopers, he was the engagement partner on more than a dozen initial public offerings of technology companies. He also directed the audits of Applied Materials, Fairchild Semiconductor and LSI Logic, as well as the audits of smaller high technology companies. Mr. Pfeiffer is a certified public accountant in California and Oregon. He received his B.A. in economics from Eckerd College in Florida and an MBA from the University of Oregon. |
